ReporTV Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the ReporTV platform (the "Service"), operated by Dabora, Inc., doing business as Walking Horse Report ("we," "us," or "our"), and located at https://reportv.walkinghorsereport.com. By creating an account or continuing to use the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not create an account or continue to use the Service.

1.1 New Users

Effective as of the date these Terms are published, all new users are required to affirmatively accept these Terms during the registration process by checking a box indicating that they have read and agree to these Terms of Service and our Privacy Policy. This affirmative acceptance is a prerequisite to account creation and access to all content on the Service, including any free preview content.

1.2 Existing Users

The Service launched prior to the publication of these Terms. If you created an account before these Terms were published, you were not presented with a checkbox requiring explicit acceptance at the time of registration. By continuing to access or use the Service after these Terms are posted, you agree to be bound by these Terms and our Privacy Policy in their entirety, as if you had affirmatively accepted them at the time of registration.

We have notified existing users of the availability of these Terms via the email address associated with their account. If you are an existing user and do not agree to these Terms, you may contact us to close your account. Continued use of the Service following notification constitutes acceptance.

2. Description of the Service

ReporTV is an on-demand video platform providing coverage of Tennessee Walking Horse events, including live-streamed and archived show footage, and other industry-related video content. The Service delivers video content through two third-party platforms: Vimeo (for archived, on-demand video) and YouTube (for live-streamed video). Both platforms are integral to the Service's core functionality.

3. Account Registration

3.1 Account Requirement

You must create an account to access any content on the Service, including any free preview content that may be offered from time to time. Free preview access is offered at our sole discretion, is limited in scope, and may be modified or discontinued at any time without notice.

3.2 Account Information

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.3 Account Security

You must notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

4. Subscriptions and Payment

4.1 Subscription Options

The Service offers paid subscription tiers, currently including a Day Pass and an Annual Pass. The features, pricing, and availability of each tier are as described on the Service at the time of purchase and are subject to change.

4.2 Billing and Renewal

By purchasing a subscription, you authorize us to charge the payment method you provide for the applicable subscription fee. Annual subscriptions may auto-renew at the end of the subscription period unless you cancel before the renewal date. Day passes expire at the end of the calendar day (Eastern Time) on which they are purchased, unless otherwise specified.

4.3 Refund Policy

Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a service disruption or billing error, please contact us and we will review your request on a case-by-case basis.

4.4 Free Preview Content

From time to time, we may offer limited free preview content to registered users. Free preview access does not constitute a subscription and does not entitle you to any ongoing access. These Terms apply in full to your use of any free preview content.

5. Acceptable Use

You agree not to use the Service in any manner that violates any applicable law or regulation, infringes the rights of any third party, or is prohibited by these Terms. Without limitation, you agree not to:

Record, download, capture, redistribute, rebroadcast, or publicly perform any video content available through the Service, by any means, without our prior written consent.

Share your account credentials with any other person or allow multiple individuals to use a single account simultaneously beyond the limits of your subscription tier.

Attempt to circumvent, disable, or interfere with any security, authentication, digital rights management, or access-control features of the Service.

Use automated tools (bots, scrapers, spiders, or similar technology) to access, index, or collect content or data from the Service.

Transmit any viruses, malware, or other harmful code through or to the Service.

Use the Service in any manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.

6. Intellectual Property

6.1 Our Content

All content on the Service — including but not limited to video footage, show results, judges' cards, high points data, graphics, logos, and the reporTV name and branding — is owned by or licensed to Dabora, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Service without our prior written permission.

6.2 Limited License

Subject to your compliance with these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view video content on the Service for your personal, non-commercial use only.

7. Third-Party Video Platforms and Cookies

7.1 Essential Third-Party Services

The Service depends on Vimeo and YouTube to deliver its core video content. These platforms are not optional add-ons; they are essential infrastructure without which the Service cannot function. By using the Service, you acknowledge and agree that:

Vimeo and YouTube will load in your browser when you access video content, and these platforms may set cookies, collect your IP address, and process data about your viewing activity in accordance with their own privacy policies and terms of service.

Even if you decline consent to non-essential or third-party cookies through our consent management banner (powered by CookieYes), Vimeo and YouTube may still set cookies and collect data as described above, because these services are required to deliver the video content that constitutes the primary purpose of the Service.

We use reasonable efforts to minimize unnecessary data collection by these platforms, but we do not control and are not responsible for their data practices. If you do not wish to have your data processed by Vimeo or YouTube, your sole remedy is to not access video content on the Service.

7.2 Your Responsibility

You are encouraged to review the terms of service and privacy policies of Vimeo (https://vimeo.com/terms and https://vimeo.com/privacy) and YouTube/Google (https://www.youtube.com/t/terms and https://policies.google.com/privacy). Your use of the Service constitutes your acknowledgment that these third-party terms apply to the extent that you interact with content delivered through those platforms.

8. Consent Management and Analytics

We use CookieYes as our Consent Management Platform. When you first visit the Service, you will be presented with a banner allowing you to accept or decline non-essential cookies and scripts (such as Google Analytics). Your preferences are stored and respected on subsequent visits.

As described in Section 7, your consent preferences apply to optional services such as analytics. They do not apply to cookies or data collection by Vimeo and YouTube, which are essential to the delivery of the Service. 9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

We do not guarantee the availability, quality, or reliability of any video content delivered through Vimeo or YouTube, and we are not responsible for any interruption, degradation, or failure caused by those platforms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DABORA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dabora, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

You may close your account at any time by contacting us. Closing your account does not entitle you to a refund of any prepaid subscription fees.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of those courts.

14. Modifications to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last Updated" date above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, or representations regarding the Service.
